General Terms and Conditions

Project Scope

The Scope of the Project contemplates the set of spaces agreed with the Client, which may include bedrooms, bathrooms, kitchens, living rooms, dining rooms, halls, terraces, among others (the «Space»).

The Client may require, for each Space, the elaboration of a Digital Sketch, a Moodboard, a 2D Plan or a 3D Visualization (the «Main Deliverable»).

The Project may or may not contemplate the elaboration of revisions (the «Revisions») of the Main Deliverable.

In addition to the Main Deliverable, the Client may request the preparation of additional services, such as other types of design, detailed 2D drawings, preparation of furniture shopping lists, bills of quantities and materials and assisted online shopping (the «Additional Services»).

Project Stages

  1. Onboarding questionnaire to be filled out by the Client and submission of information of the Space(s) part of the Project Scope, including a minimum of two photographs, and the approximate measurements of each wall (height and width).
  2. Submission of the first proposal of the Main Deliverable within the term agreed with the Client after completion of the previous stage and payment of the initial invoice for the Project. Work on Stage 2 shall not commence until Stage 1 is completed or payment of the initial Project invoice is made.
  3. Submission of each of the Revisions within the deadline agreed with the Client.
  4. If applicable, submission of the Additional Deliverables within the deadline agreed with the Client and upon confirmation of the Client’s acceptance of the proposed Main Deliverable.

Fees, billing and payment

Fees due for the Principal Deliverable and for Additional Deliverables exclude IGV (or IVA or VAT) that may be due based on the Client’s jurisdiction.

Payments must be made by credit card or bank transfer. An additional charge of up to 5% applies to credit card payments. The initial invoice for the Project is due in cash. Subsequent invoices for additional deliverables are due within seven (7) days of their date of issue. Late payment of invoices will result in (i) suspension of the execution of the Project and (ii) payment of a penalty for each day of delay corresponding to USD 25/day (excluding VAT or equivalent).

The fees related to the Project are non-refundable and do not include any other service not expressly mentioned in these Terms.

Third parties

From time to time, Schbam may work with third parties in the execution of the Project. The Client agrees that Schbam may subcontract such third parties at its free disposal and that Schbam shall assume responsibility for the execution of the Project assigned to them. The Client also agrees that Schbam may share information relating to the Project with such third parties. Schbam shall not be obliged to inform the Client in the event that it engages third parties to execute part or all of the Project.

Photographs, videos and advertising

The Client accepts that photographs and/or videos of the Project may be included in Schbam’s website (www.schbam.com), social networks, commercial proposals or e-mails for advertising and corporate communication purposes.

Intellectual Property

All sketches, designs, plans, moodboards or, in general, visualizations or representations of the Main Deliverable, the Additional Deliverables and their Revisions prepared by Schbam (the «Documents») are the property of Schbam for an indefinite period of time and are not transferred to Client as part of the execution of the Project. The Documents may not be used by the Client for any purpose other than the execution of the Project. The Client may, however, disclose images of the Documents, provided that such images do not include offensive mentions and/or improper language to any audience. When disclosing images of the Documents, the Client assumes the obligation to share the authorship of such images.

Resolution

The Project may be terminated at any time in the event of default by either party upon five (5) days prior written notice by email. The termination of the contract does not limit Schbam’s collection of (i) all invoices that are pending collection and (ii) all invoices that are yet to be issued for services rendered up to the date of termination of the Project.

Jurisdiction and conflicts

The Client and Schbam agree that any claim, dispute or controversy of any kind relating to the execution of the Project and to the interpretation, breach, performance or prosecution of the Project in accordance with the Terms shall be governed by and construed in accordance with the laws of the Republic of Portugal.


The courts of the Republic of Portugal shall have exclusive jurisdiction to resolve any dispute, which may arise out of or in connection with the Project and, accordingly, any proceedings arising out of or in connection with the Project shall be brought before such courts.
